Terms of use
The rules for using ouxp.com, in plain English: what the information on this site is and isn’t, what you can do with our content and where our responsibility ends. Work we do for clients is covered by a separate written agreement.
Draft – pending legal review before launch. These terms describe how the site works today; the wording may change after review.
Who we are and when these terms apply
OUXP – short for Outstanding Experience – is a Shopify Plus agency based in Los Angeles, California. In these terms, “we” and “us” mean OUXP, and “you” means anyone who uses ouxp.com, along with the company they use it for.
These terms apply when you browse the site, read our guides or send us a message through its forms. By using the site, you accept them; if you don’t, please don’t use it. If you use the site for a company, you confirm you may accept these terms on its behalf.
Hiring us is a separate matter. Every project, audit, retainer and emergency engagement runs under its own written proposal or agreement, and where that agreement and these terms differ, the agreement wins.
We update these terms when the site or the law changes. The date at the top always shows the current version, which applies to your use of the site from that date on.
Is anything on this site an offer or a quote?
No. Everything on this site – prices, ranges, timelines, plans and guides – is general information to help you plan. It isn’t an offer you can accept, and it doesn’t create a contract between us.
A contract exists only once we both agree to a written proposal or agreement, usually by signing it. That document fixes the scope, deliverables, price, timeline, payment terms, ownership of the work and confidentiality for your project.
Prices on the site are in US dollars. If a figure here ever turns out to be wrong, we correct it – the figure in your written agreement is the one that counts.
| On this site | What it is |
|---|---|
| Price bands and timelines – migrations, theme work and performance projects | Typical ranges from past projects, so you can budget. Binding only once a fixed price and timeline are in a written proposal we both accept. |
| Published prices and service levels – audits, retainers, dedicated engineers, emergency help and response times | Our current rates and service levels, such as a first response within 30–60 minutes during business hours, or within 2 hours around the clock for clients with 24/7 emergency coverage. Binding as stated in the written proposal or agreement you accept. |
| Free migration assessment | A written opinion with timeline and cost bands. It creates no obligation for either side. |
| Guides, comparisons and cost guides | General information, with platform facts dated. Confirm current platform prices and terms with the vendor. |
| Reviews and case studies | Reviews are merchants’ own words; case studies are our account of real client projects. Neither is a promise of the same result for your store. |
What moves a migration up or down its band is explained in the migration cost guide.
The free migration assessment
The free migration assessment is a written opinion, not a quote. Our engineers prepare it from your live storefront and what you tell us in the form – no store access needed – and send it within 2 business days.
It gives a platform verdict (which can be “stay where you are”), cost and timeline bands, 2–3 risk flags and a map of your apps and integrations. It’s yours to keep and share, including with another agency, and asking for one commits you to nothing.
Because it relies on public information, a deeper review can change the picture. A fixed price comes from that deeper pass, with read-only store access under an NDA, and is set out in a proposal before any work starts.
Guides and platform facts
Our guides, comparisons and cost guides are general information written by our engineers. Platforms change their prices, plans and features, so we date platform facts (for example, “as of October 2026”) and label third-party costs as estimates where they are. Confirm current terms with the platform before you rely on them.
Nothing on this site is legal, tax, accounting or financial advice. For decisions that turn on those questions, talk to a qualified advisor.
What you send us
Our contact and migration assessment forms ask for your name, work email, your store or company and what you need help with – plus any notes you choose to add. A few ground rules:
- Please do not include passwords or customer information. We never ask for store passwords through this website.
- Send only information you have the right to share – your own, or your company’s with its permission.
- When a quote or project needs access to your store, we arrange it separately and in writing – for a fixed quote, read-only access under an NDA. Prefer an NDA before you share any details? We can sign yours before any access or details change hands.
- Ideas and suggestions about our site or services are welcome, and we may use them without owing you anything. This doesn’t apply to information about your business.
How we collect, use and protect personal information is explained in our privacy policy. How the site uses cookies is covered in our cookie policy.
Who owns the content on this site?
We do. The text, guides, diagrams, artwork, page design and code of ouxp.com, and the OUXP name and wordmark, belong to OUXP or to those who license them to us. They are protected by copyright and trademark law, and using the site doesn’t transfer any of those rights to you.
You’re welcome to
- Read, print and save pages for your own use or your company’s internal planning
- Share links to any page
- Quote short excerpts, credited to OUXP with a link to the page
- Share the migration assessment we send you with anyone you choose
Please don’t
- Republish whole pages or guides, or present them as your own
- Use the OUXP name or wordmark in a way that suggests we endorse or work with you when we don’t
- Remove copyright or attribution notices from anything you copy
Search engines and AI answer engines are welcome to crawl and index the site as our robots.txt file allows, and to cite it with a link.
Reviews quoted on our client reviews page and elsewhere on the site are the words of the merchants who wrote them on the Shopify Partner Directory, reproduced word for word – where we quote only part of a review, an ellipsis (…) marks the cut. Ownership of work we create for clients – code, designs and content – is set out in each client agreement, not in these terms; under it, the code we write for you is yours.
If you think something on the site uses your work without permission, email [email protected] with the details and we’ll look into it.
Using the site responsibly
Use the site for what it’s for: learning about our work and getting in touch. Please don’t:
- Use it in a way that breaks the law or infringes anyone’s rights
- Try to reach parts of the site, its servers or our systems that you’re not authorized to use
- Probe or scan the site for vulnerabilities without our written permission
- Overload or disrupt the site, upload malicious code or get around its security measures
- Send spam, or use our forms to send other people’s personal data without their permission, or any passwords or payment details
- Pretend to be OUXP, or claim a relationship with us that doesn’t exist
Found a security problem? Email [email protected] with the details. Please don’t access data that isn’t yours, and give us reasonable time to fix the issue before you share it.
We may block access to the site for anyone who breaks these rules.
Third-party links and trademarks
The site links to pages we don’t control – such as Shopify’s Partner Directory, our Upwork profile, Shopify’s status page, our providers’ policies and the stores of merchants whose reviews we quote. We link to them because they’re useful or because they let you check our claims. Their own terms and privacy policies apply, and we aren’t responsible for their content or availability.
Shopify, Shopify Plus, Magento, Adobe Commerce, Salesforce Commerce Cloud, BigCommerce, WooCommerce and the other product names on this site are trademarks of their owners. We use them only to describe the platforms we build on and migrate from, and the tools we work with.
OUXP is listed in Shopify’s Partner Directory (external site) (Shopify Plus Partner since 2019). Beyond that listing, naming a platform or app – including those on our list of platforms and apps we work with – doesn’t mean its owner endorses OUXP or has a partnership with us.
What we don’t promise
We work to keep the site accurate and current, and we date facts that change. Even so, the site and everything on it are provided “as is” and “as available”. To the fullest extent the law allows, we make no warranties about it, express or implied – including that it is accurate, complete, fit for a particular purpose or free of errors or viruses.
We may change, pause or remove any part of the site at any time. It may sometimes be unavailable for maintenance or for reasons outside our control.
Results differ from store to store. The reviews and case studies on this site describe specific projects; they don’t promise a particular ranking, conversion rate, speed score or revenue for yours.
Limits on our liability
The site is free to use, so our responsibility for it is limited. These limits cover the website only – liability for client work is set by your client agreement. To the fullest extent the law allows:
- We aren’t liable for indirect or consequential losses – such as lost profits, revenue, data or business opportunities – that come from using the site, being unable to use it, or relying on its content.
- Our total liability for all claims relating to the site or these terms is limited to $100.
Nothing in these terms limits liability that the law doesn’t allow us to limit – for example, for fraud – or removes rights you have under consumer protection laws that can’t be waived.
Which law applies?
These terms are governed by the laws of the State of California, USA, without regard to its conflict-of-law rules. Any dispute about the site or these terms goes to the state or federal courts located in Los Angeles County, California, and you and we agree to their jurisdiction.
Before it gets that far, please email us. Most problems are faster to solve in a conversation.
General terms
- If a court finds part of these terms unenforceable, the rest still applies.
- If we don’t enforce a term right away, we haven’t given up the right to enforce it later.
- These terms, with our privacy policy and cookie policy, are the whole agreement about your use of the site. A client agreement governs the work it covers.
